| ACQUISITION OF WHOLLY-OWNED SUBSIDIARY

Further to the Company’s announcement on 12 December 2011 (the “Announcement”)
relating to the acquisition of a wholly-owned subsidiary, Teleapps Communications (M) Sdn.
Bhd. (“TCM”) (the “Acquisition”), the Board of Directors of the Company wishes to clarify the
following:
| 1(a) | Mr. Caleb Gau Poh Seng, who is one of the vendors, is an Executive Vice-President of
the Company. One ordinary share of TCM was acquired from Mr. Gau for a
consideration of RM1.00; |
| 1(b) | Mr. Lai Peng Loong, who is the other vendor, is a relative of Ms. Irene Valencia
Goutama, the Executive Director and Chairman of the Company. Save for the
Acquisition, Mr. Lai has no business relationship or any other dealings (whether
commercial or otherwise) with the Company. One ordinary share of TCM was
acquired from Mr. Lai for a consideration of RM1.00; |
| 2 | None of the Directors and controlling shareholders of the Company has any interest,
direct or indirect, in the Acquisition. |
Further, there was a typographical error in paragraph 2 of the Announcement which should
have been read as “TCM has an issued and paid-up capital of RM2.00………” instead of
“TCM has an issued and paid-up capital of RM.200………”
